BY ACCESSING, BROWSING, OR OTHERWISE USING THE AUDDICT WEBSITE (INCLUDING ALL SUBDOMAINS) OR BY COMPLETING A PURCHASE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THESE TERMS AND CONDITIONS, TOGETHER WITH THE PRIVACY POLICY AND END USER LICENCE AGREEMENT (EULA), EACH AS INCORPORATED HEREIN BY REFERENCE. IF YOU DO NOT AGREE TO ALL OF THE FOREGOING, YOU MUST NOT USE THE WEBSITE OR PURCHASE ANY PRODUCT.
1. Introduction and Incorporation by Reference
These Terms & Conditions (“Terms”, “Agreement”) constitute a legally binding agreement between you (“User”, “you”, “your”) and Auddict (“we”, “us”, “our”) governing your access to and use of the Auddict website located at auddict.com and all associated subdomains (collectively, the “Website”), and the purchase, download, installation, and use of all digital products offered for sale by Auddict through the Website or authorised third-party channels (collectively, “Products”). For the avoidance of doubt, your use of any Product is additionally subject to our End User Licence Agreement available at /eula, and our handling of personal data is governed by our Privacy Policy available at /privacy, each of which is incorporated into these Terms by reference as though fully set forth herein.
Notwithstanding anything to the contrary contained herein, in the event of any conflict between these Terms and the EULA with respect to the licence granted in or use of a Product, the EULA shall prevail solely to the extent of such conflict.

Auddict is a music technology company engaged in the development, marketing, and sale of virtual instruments, sample libraries, and related audio software, and is registered in England & Wales.

3. Products, Licensing, and Delivery
Auddict develops and sells digital audio Products. All Products are licensed to you, not sold, and your rights in respect of any Product are limited to those expressly granted in the EULA. Products are delivered exclusively by electronic means, and delivery method varies by Product: certain Products are delivered via a download link transmitted to the email address supplied at checkout; certain Products (including, without limitation, PercX and Dorian Marko Piano) are made available through your Auddict account at account.auddict.com following successful completion of purchase. You acknowledge and agree that delivery is deemed complete at the time the download link is sent or the Product is made available in your account, whichever is applicable.
It is your sole responsibility to ensure that the email address and account credentials provided at checkout are accurate, current, and capable of receiving delivery. We shall not be liable for failed or delayed delivery arising from incorrect information supplied by you. If you do not receive your download or account access within a reasonable period, please contact us using the support button at the bottom of this page.
4. Eligibility and Capacity
By using the Website or purchasing any Product, you represent and warrant that you are at least eighteen (18) years of age, or that you have obtained the express consent of a parent or legal guardian who agrees to be bound by these Terms on your behalf. If you are purchasing on behalf of a business entity, you represent that you have authority to bind that entity to these Terms.
5. Orders, Payment, and Merchant of Record
All payments for Products are processed by FastSpring (Bright Market, LLC) acting as merchant of record (“MoR”). When you complete a purchase, your transaction is subject to FastSpring’s terms of service and privacy practices in addition to these Terms. Auddict does not directly collect, store, or process your payment card details; such information is handled exclusively by the MoR.
Prices may be displayed inclusive or exclusive of value-added tax (VAT) and/or other applicable sales taxes depending on your jurisdiction. Any applicable taxes will be calculated and displayed at checkout by the MoR. By placing an order, you confirm that all information provided is accurate and complete, and that you are authorised to use the chosen payment method. We reserve the right to refuse or cancel any order at our sole discretion, including where we suspect fraud, unauthorised activity, or breach of these Terms.
6. Refund Policy — All Sales Final
Owing to the intangible and immediately consumable nature of digital Products, all sales are final. We do not offer refunds, credits, or exchanges on digital downloads once delivery has been initiated, except where required by mandatory applicable law. If you experience a genuine technical issue that prevents you from using a Product, you may contact our support team using the support button at the bottom of this page; we may, at our sole discretion, endeavour to assist in resolving the issue, but such assistance does not constitute an entitlement to any refund, credit, or replacement.
Nothing in this Section 6 shall affect your statutory rights under the Consumer Rights Act 2015 or equivalent mandatory legislation in your jurisdiction, to the extent such rights cannot be excluded or limited by agreement.
7. System Requirements and Compatibility
Each Product is subject to specific system requirements as stated on its respective product page. You acknowledge that it is your sole responsibility to verify compatibility with your hardware, operating system, and host software (including, where applicable, a full retail version of Native Instruments Kontakt, not the free Kontakt Player) prior to purchase. Auddict shall not be liable for any inability to use a Product arising from failure to meet stated requirements or from changes to third-party software, operating systems, or hardware after purchase.
8. Intellectual Property
All content on the Website — including without limitation text, photographs, audio demonstrations, video, graphics, logos, trade marks, and underlying software — is owned by or licensed to Auddict and is protected by copyright, trade mark, and other intellectual property laws worldwide. Except as expressly permitted under the EULA, you may not reproduce, distribute, publicly display, modify, or create derivative works from any such content without our prior written consent.
9. Acceptable Use
Without limiting the restrictions set out in the EULA, you agree that you shall not:
- use the Website or any Product for any unlawful, fraudulent, or unauthorised purpose;
- attempt to gain unauthorised access to our systems, servers, accounts, or any third-party systems connected to our services;
- interfere with or disrupt the integrity, security, or performance of the Website or any Product;
- scrape, crawl, data-mine, or use automated means to extract content from the Website without our prior written permission;
- use any content from the Website or any Product, or any data derived therefrom, to train, develop, fine-tune, or improve any artificial intelligence, machine learning, or similar automated system, whether for commercial or non-commercial purposes.
10. Third-Party Links, Embeds, and Services
The Website may contain hyperlinks to third-party websites or embed content from third-party services (including, without limitation, YouTube, Vimeo, and SoundCloud). Such links and embeds are provided for convenience only. We do not endorse, control, or assume responsibility for the content, availability, or privacy practices of any third-party site or service. Your use thereof is at your own risk and subject to the applicable third-party terms.
11. Limitation of Liability
To the fullest extent permitted by applicable law, Auddict shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or creative work, arising out of or in connection with your use of or inability to use the Website or any Product, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, even if we have been advised of the possibility of such damages.
Our aggregate total liability to you for all claims arising out of or relating to these Terms or any Product shall not exceed the amount you actually paid to us (via the MoR) for the specific Product giving rise to the claim in the twelve (12) months preceding the event giving rise to liability. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.
12. Disclaimer of Warranties
The Website and all Products are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including without limitation implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, to the maximum extent permitted by law. We do not warrant that the Website or any Product will be uninterrupted, error-free, secure, or compatible with all hardware, software, or configurations.
13. Suspension and Termination
We reserve the right, without prior notice and at our sole discretion, to suspend or terminate your access to the Website, your Auddict account, or any services, if we reasonably believe you have breached these Terms, the EULA, or applicable law. Upon termination, your licence to use any Product may be revoked in accordance with the EULA, and you shall have no right to a refund.
14. Amendments
We may revise these Terms at any time by posting an updated version on this page and updating the “Last updated” date above. Your continued access to the Website or use of any Product following the posting of revised Terms constitutes your acceptance of such changes. If you do not agree to revised Terms, you must cease use of the Website and Products.
15. Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England & Wales. You irrevocably agree that the courts of England & Wales shall have exclusive jurisdiction to settle any such dispute or claim.
16. General Provisions
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision shall not constitute a waiver. These Terms, together with the Privacy Policy and EULA, constitute the entire agreement between you and Auddict regarding the subject matter hereof and supersede all prior understandings. You may not assign your rights under these Terms without our prior written consent; we may assign our rights without restriction.
